These Terms of Service ("Terms") govern access to and use of the PHYSi website at https://physi.art, the native Android application PHYSi (art.physi.seeker) on the Solana dApp Store and via sideload from physi.art, and associated tools and services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

Physi LLC, a Delaware limited liability company ("operator," "we," or "us"), operates the Services.

1. Eligibility

You must be at least 18 years of age and able to form a binding contract to use the Services. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity.

2. The Services

PHYSi provides software interfaces to interact with Solana blockchain programs and related off-chain systems (profiles, storage, indexing, marketplace UX). Features may include minting and trading NFTs, fractional / fungible token flows, invites, profiles, and related tools.

The Services may change, pause, or end without notice. We do not guarantee uninterrupted or error-free operation.

3. Wallets and blockchain

You interact with public blockchains through your own wallet and private keys. You are solely responsible for wallet security, seed phrases, transaction review, gas/fees, and on-chain outcomes.

Blockchain records are public and generally immutable. We cannot reverse confirmed transactions or erase on-chain data. See the Privacy Policy for how blockchain affects privacy rights.

4. Accounts and profiles

Some features require authentication (e.g. email/Cognito) and/or a connected wallet. You are responsible for activity under your credentials and wallet. Provide accurate information. Do not impersonate others or misuse handles.

5. Content and NFTs

You retain rights in content you lawfully own. By uploading or minting through the Services, you grant PHYSi a license to host, display, and transmit that content as needed to operate the Services.

You represent that you have all rights needed for content you submit, and that it does not infringe others' rights or violate law. We may remove or restrict content that appears unlawful, abusive, or harmful to the platform.

NFTs and tokens are experimental. Values can go to zero. Past performance is not indicative of future results.

6. Fees

On-chain fees (network fees, program fees, marketplace fees) and any platform fees displayed in the UI apply as shown at the time of the transaction. Third-party fees (RPC, bridges, exchanges) are outside our control.

7. Prohibited use

You may not: violate law; infringe IP or privacy; launder funds or evade sanctions; attack, scrape abusively, or disrupt the Services; bypass access controls; use the Services if you are under 18; or use bots in ways that harm other participants or the integrity of markets on PHYSi.

8. No financial advice; risk

Nothing on the Services is investment, legal, tax, or financial advice. Digital assets are volatile and may be unregulated in your jurisdiction. You use the Services at your own risk.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR ANY BLOCKCHAIN NETWORK WILL BE SECURE, AVAILABLE, OR FREE OF ERRORS OR HARMFUL COMPONENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHYSI LLC AND ITS AFFILIATES, OFFICERS, AND CONTRACTORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) FEES YOU PAID TO US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnity

You will indemnify and hold harmless Physi LLC and its affiliates from claims arising out of your content, your use of the Services, your on-chain activity, or your breach of these Terms.

12. Termination

We may suspend or terminate access for any reason, including violation of these Terms. You may stop using the Services at any time. Provisions that by nature should survive (including disclaimers, liability limits, and indemnity) survive termination.

13. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Courts in Delaware have exclusive jurisdiction, except where applicable law requires otherwise.

14. Changes

We may update these Terms by posting a revised version on https://physi.art/terms-of-service. Continued use after changes constitutes acceptance.

15. User-generated content

Profiles, writings, images, listings, and other Participant content on the Services are user-generated. You may not post Restricted Content as defined in the Solana Mobile Publisher Policy (illegality, CSAM, hate, gratuitous violence, pornography, IP infringement, deliberately misleading content). Report abuse from inside the PHYSi app or at hello@physi.art. We may remove content and suspend accounts. On-chain records cannot be erased.

16. Third-party app stores

If you install PHYSi from the Solana dApp Store, Solana Mobile, Inc. and its affiliates (the “Solana Mobile Parties”) are not a party to these Terms and have no responsibility or liability to you for the PHYSi application or any related program. Warranty disclaimers and liability limits in these Terms apply for the benefit of the Solana Mobile Parties to the extent required by the Solana Mobile dApp Store Developer Agreement.
